Delivery and Payment Conditions

1. This order form is also regarded as a confirmation of the order overleaf, provided it is not rejected partially or in full by us within 30 days of receipt, or the production program does not require any alteration.
2. Delivery is made in accordance with the latest version of the Standard Conditions of the German Textile Industry, with an extension deadline of 18 days excluding all compensation claims. Delivery is made ex-works and carriage forward from the warehouse in Kirchentellinsfurt and is uninsured. Already delivered goods remain our property until full payment has been made and cannot be assigned or pledged to third parties.
3. The ordered goods can only be sold at the site stated in this order. If the buyer violates these contractual conditions, then the seller is entitled to refuse performance, i.e. the seller can withdraw from this contract without being liable for compensation.
4. Complaints are only recognised within 2 weeks of receipt of the goods. Standard or minor technical and non-avoidable deviations in quality, colour and weight do not give cause for complaint. In case of justified complaints, defect-free replacement is provided or a credit note is issued within 14 days of receipt.
5. Payment: according to the Standard Conditions of the German Textile Industry: 10 days 4%, 30 days 2.25%, 60 days net cash. If payment is not made by the stated deadline or in case of an essential worsening of the financial circumstances of the buyer, the seller can terminate the credit offered without notice and immediately demand financial cover. This also applies if we receive information about a buyer which does not justify the maintenance of the credit, or if the customer sells, leases or liquidates its business. A default of payment entitles the seller to assert claims which are not yet due in addition to the due claims.
6. The place of performance for the delivery and payment is, Kirchentellinsfurt for general merchants.The place of jurisdiction is Tuebigen.
